    (iii) Last Monthly Activist: a monthly summary of the most recent month’s material 13D activity.

13D Monitor defines “materiality” as companies with market capitalizations in excess of $100 million where the 13D filing discloses a specific activist intent or the 13D is filed by an activist investor, regardless of the intent stated. Our team reviews every 13D filing (over 8,500 each year) and has a deep knowledge of every activist investor, so we are in the best position to distinguish between material and boilerplate 13D filings.
